
Terms of Service
Effective Date: April 19, 2026
These Terms of Service (“Terms”) constitute a legally binding agreement between you (“you” or “User”) and Augus LLC (“Augus,” “we,” “us,” or “our”), governing your access to and use of the Projent web application (“Projent” or the “Service”), accessible at projent.io.
By creating an account or using the Service, you acknowledge that you have read, understood, and agree to be bound by these Terms. If you are using the Service on behalf of an organization, you represent and warrant that you have the authority to bind that organization to these Terms, and “you” refers to both you individually and that organization.
If you do not agree to these Terms, you must not access or use the Service.
1. Overview of the Service
Projent is a web-based project management platform that combines project planning, organization, and collaboration tools with integrated AI capabilities. The Service enables users to plan, manage, and track projects across any industry.
The AI assistant can analyze your project, provide recommendations, and propose changes to your project data. All AI-proposed changes are subject to a human-approval workflow and are not committed until you explicitly accept them.
2. Eligibility
You must be at least 16 years of age to use the Service. By using Projent, you represent and warrant that you meet this age requirement and have the legal capacity to enter into these Terms. If you are under 18, you represent that your parent or legal guardian has reviewed and agreed to these Terms on your behalf.
3. Account Registration and Security
3.1 Account Creation
To access the Service, you must create an account by providing accurate and complete information. You may register using an email and password or through supported third-party authentication providers. You agree to keep your account information current and accurate.
3.2 Account Security
You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account. You agree to notify us immediately at support@projent.io if you become aware of any unauthorized access to or use of your account. We are not liable for any loss arising from unauthorized use of your account.
3.3 Account Termination by User
You may delete your account at any time by contacting us at support@projent.io. Upon deletion, your personal data will be handled in accordance with our Privacy Policy. Project data for projects you own will be permanently deleted. Your membership in projects owned by others will be removed, but your prior contributions may persist in anonymized form within those projects.
4. Subscriptions and Payment
The provisions of this Section 4 govern billing and payment for paid subscriptions to the Service. If you are accessing the Service at no cost through a free tier, trial, promotional arrangement, or the Early Access Program described in Section 4.6, the billing and payment obligations in Sections 4.1 and 4.2 do not apply for the duration of that access.
4.1 Subscription Plans
Projent offers subscription-based access to the Service. Available plans, features, and pricing are described on our website and may change from time to time. We will provide reasonable notice of any pricing changes to existing subscribers before they take effect.
4.2 Billing and Payment
By subscribing to a paid plan, you authorize us to charge your chosen payment method on a recurring basis at the applicable subscription interval until you cancel. All payments are processed through our third-party payment provider. We do not directly store your full payment card details on our servers.
You are responsible for providing valid and current payment information. If a payment fails, we may suspend or restrict access to paid features until payment is resolved. We reserve the right to retry failed charges in accordance with our payment provider's policies.
4.3 Free Tiers and Trials
We may offer free tiers, trial periods, or promotional access at our discretion. Free or trial access may be subject to limitations on features, usage, or duration. We reserve the right to modify or discontinue free tiers and trial offers at any time without prior notice.
4.4 Refunds
Subscription fees are generally non-refundable, except where required by applicable law. If you believe you are entitled to a refund, please contact us at support@projent.io and we will review your request on a case-by-case basis.
4.5 Taxes
All fees are exclusive of applicable taxes unless stated otherwise. You are responsible for any sales tax, use tax, value-added tax, or similar taxes imposed by any jurisdiction in connection with your use of the Service, other than taxes based on our net income.
4.6 Early Access Program
From time to time, we may invite users to participate in early access, pre-release, or beta programs, including a Friends and Family Program preceding general availability of the Service. If you have been invited to and accepted participation in such a program (“Early Access”), the following additional terms apply:
(a) Free Access. Early Access is provided at no cost for the duration of the program period. We may define, modify, or end the program period at our discretion, and we will provide reasonable notice to participants of material changes to the program.
(b) Pre-Production Status. The Service offered during Early Access is pre-production software. Features, functionality, performance, and availability may change during the program, and the Service may contain defects, incomplete features, or behavior that does not reflect the quality standards of the generally available Service. You acknowledge that your experience during Early Access may differ from the experience of users of the generally available Service.
(c) Service Interruptions. Service interruptions, maintenance windows, configuration changes, and temporary unavailability are expected during Early Access. The availability commitments in Section 11 apply with the understanding that Early Access software is inherently less stable than generally available software.
(d) Data Continuity. We intend for data you create during Early Access to persist into the generally available Service, and this is the normal operational outcome. However, we reserve the right, in unusual circumstances and with reasonable notice, to reset, migrate, or modify data if required for the integrity or security of the Service. We recommend that you use the export functionality within the Service to preserve any content you consider important.
(e) Feedback. Participation in Early Access includes an expectation that you will share feedback about your experience when reasonably requested. Section 8.2 governs our use of any Feedback you provide.
(f) Transition to General Availability. When the Service transitions from Early Access to general availability, we will update these Terms of Service and our Privacy Policy to reflect the terms that apply to the generally available Service, including applicable subscription plans and pricing. Continued use of the Service after general availability will require your acceptance of the updated Terms. We will provide reasonable notice of this transition in accordance with Section 16.
(g) Data and Privacy Protections. The privacy and data protection commitments in our Privacy Policy apply equally during Early Access. Your data is handled to the same standard as the data of users on paid plans, and we will never sell your personal data regardless of the program under which you access the Service.
(h) Disclaimer. In addition to the disclaimers in Section 12, you acknowledge that Early Access software is offered without any expectation of the feature completeness, reliability, performance, or polish that applies to generally available software. The Service during Early Access is provided “AS IS” and “AS AVAILABLE,” and your use is at your own risk.
5. Acceptable Use
You agree to use the Service only for lawful purposes and in compliance with these Terms. You agree not to:
- Use the Service in any way that violates any applicable federal, state, local, or international law or regulation
- Upload, transmit, or store any content that is unlawful, defamatory, obscene, fraudulent, threatening, or that infringes on any third party's intellectual property or privacy rights
- Attempt to gain unauthorized access to the Service, other user accounts, or any systems or networks connected to the Service
- Interfere with or disrupt the integrity or performance of the Service or its underlying infrastructure
- Use automated scripts, bots, scrapers, or other automated means to access the Service, except through our officially supported APIs (if and when made available)
- Reverse engineer, decompile, disassemble, or otherwise attempt to derive the source code of the Service
- Resell, sublicense, or redistribute access to the Service without our prior written consent
- Use the AI assistant to generate content that is illegal, harmful, deceptive, or that violates the usage policies of our AI providers
- Circumvent or attempt to circumvent any usage limits, rate limits, or access controls imposed by the Service
- Use the Service to store or transmit malicious code, including viruses, worms, or trojans
- Impersonate any person or entity or misrepresent your affiliation with any person or entity
We reserve the right to suspend or terminate your access to the Service if we reasonably believe you have violated these acceptable use provisions.
6. Your Content and Data
6.1 Ownership
You retain all ownership rights in the content, data, and materials you upload to or create within the Service (“Your Content”). These Terms do not transfer any of your intellectual property rights to Augus LLC.
6.2 License Grant to Augus
By uploading or creating content within the Service, you grant Augus LLC a limited, non-exclusive, worldwide, royalty-free license to use, process, store, display, and transmit Your Content solely for the purposes of operating, maintaining, and providing the Service to you. This includes processing Your Content through AI services to deliver the features you have requested. This license terminates when you delete Your Content or your account, subject to reasonable backup and archival periods.
6.3 Responsibility for Your Content
You are solely responsible for Your Content and represent and warrant that you have all rights necessary to upload and use it within the Service. You agree that Your Content does not and will not violate any third party's intellectual property rights, privacy rights, or any applicable law. Augus LLC does not pre-screen or monitor Your Content but reserves the right to remove content that violates these Terms.
6.4 Data Portability
You may export Your Content from the Service at any time using available export functionality or by contacting us at support@projent.io. We will provide your data in a commonly used, machine-readable format within a reasonable timeframe.
7. AI Features
7.1 AI-Generated Content
The AI capabilities in Projent generate suggestions, recommendations, and other output (“AI Output”) based on your inputs, project context, and uploaded documents. AI Output is provided for informational and productivity purposes and should not be treated as professional, legal, financial, or expert advice.
You are solely responsible for reviewing, validating, and approving any AI Output before incorporating it into your projects. The human-approval workflow exists to ensure you maintain control, but the responsibility for the accuracy and appropriateness of approved changes rests with you.
7.2 AI Limitations
The AI assistant may produce output that is inaccurate, incomplete, or inappropriate. We do not warrant that AI Output will be error-free, suitable for any particular purpose, or free from bias. You acknowledge that AI technology has inherent limitations and that you should exercise independent judgment when using AI-generated content.
7.3 AI Usage Limits
Your subscription plan may include limits on AI usage. We reserve the right to impose, modify, or enforce usage limits to maintain Service quality and manage operational costs. Current limits and fair use policies are described on our website.
7.4 AI Provider Terms
The AI features in Projent are powered by third-party AI providers. Your use of AI features is also subject to the acceptable use policies of those providers. We reserve the right to refuse or modify AI requests that violate our providers' terms or our own acceptable use policies.
8. Intellectual Property
8.1 Augus LLC's Rights
The Service, including its software, design, architecture, user interface, documentation, branding, logos, and all related intellectual property, is and remains the exclusive property of Augus LLC. These Terms do not grant you any right, title, or interest in the Service except for the limited right to use it in accordance with these Terms.
8.2 Feedback
If you provide us with feedback, suggestions, or ideas about the Service (“Feedback”), you grant us an unrestricted, irrevocable, perpetual, royalty-free license to use, modify, and incorporate that Feedback into the Service or any other product without obligation or compensation to you. You are not required to provide Feedback.
8.3 Trademarks
“Projent,” “Augus,” and related logos and marks are trademarks of Augus LLC. You may not use our trademarks without prior written consent, except as reasonably necessary to refer to our Service in a descriptive, non-misleading manner.
9. Team Collaboration and Shared Projects
9.1 Roles and Permissions
Projent supports collaborative projects with role-based access controls. Project owners are responsible for managing team membership, assigning permissions, and configuring project-level visibility settings.
9.2 Invitations
Project owners may invite other users to join a project. By accepting a project invitation, you agree to these Terms and acknowledge that your name, email, project role, and contributions will be visible to other project members according to the project's permission settings.
9.3 Responsibility
Project owners are responsible for the appropriate use of their projects and for ensuring that invited members comply with these Terms. Augus LLC is not responsible for disputes between project members or for content created by team members within shared projects.
10. Third-Party Services
The Service integrates with or relies upon third-party services for various functions including authentication, infrastructure, AI processing, and analytics. Your use of the Service may be subject to the terms and policies of those third-party providers. We are not responsible for the availability, accuracy, or practices of third-party services, and any issues arising from third-party services are governed by their respective terms.
11. Service Availability and Modifications
11.1 Availability
We strive to maintain high availability of the Service but do not guarantee uninterrupted or error-free operation. The Service may be temporarily unavailable due to maintenance, updates, or circumstances beyond our control. We will make reasonable efforts to provide advance notice of planned downtime.
11.2 Modifications to the Service
We reserve the right to modify, update, or discontinue any feature or aspect of the Service at any time. If we make material changes that significantly reduce the functionality available under your current subscription, we will provide reasonable notice and, where appropriate, offer a pro-rated refund or credit for the remaining subscription period.
11.3 Discontinuation
In the event we discontinue the Service entirely, we will provide at least 30 days' notice and make reasonable efforts to enable you to export Your Content before the Service is shut down.
12. Disclaimer of Warranties
The Service is provided “as is” and “as available” without warranties of any kind, whether express, implied, statutory, or otherwise. To the fullest extent permitted by applicable law, Augus LLC disclaims all warranties, including but not limited to implied warranties of merchantability, fitness for a particular purpose, non-infringement, and quiet enjoyment.
Without limiting the foregoing, we do not warrant that: (a) the Service will meet your specific requirements; (b) the Service will be uninterrupted, timely, secure, or error-free; (c) the results obtained from the use of the Service, including AI-generated output, will be accurate, reliable, or complete; or (d) any errors in the Service will be corrected.
You acknowledge that AI features are powered by third-party models that may produce inaccurate or unexpected results. You use AI features at your own risk and are solely responsible for evaluating and acting upon AI output.
13. Limitation of Liability
To the maximum extent permitted by applicable law, in no event shall Augus LLC, its owner, officers, employees, agents, or affiliates be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, revenue, business opportunities, or goodwill, arising out of or in connection with your use of or inability to use the Service, regardless of the theory of liability (contract, tort, strict liability, or otherwise) and even if we have been advised of the possibility of such damages.
To the maximum extent permitted by applicable law, our total aggregate liability for all claims arising out of or relating to these Terms or the Service shall not exceed the greater of: (a) the total fees you paid to us for the Service during the twelve (12) months immediately preceding the event giving rise to the claim; or (b) one hundred dollars ($100.00 USD).
Some jurisdictions do not allow the exclusion or limitation of certain damages. In such jurisdictions, our liability shall be limited to the fullest extent permitted by law.
14. Indemnification
You agree to indemnify, defend, and hold harmless Augus LLC, its owner, employees, agents, and affiliates from and against any and all claims, liabilities, damages, losses, costs, and expenses (including reasonable attorneys' fees) arising out of or relating to: (a) your use of the Service; (b) Your Content; (c) your violation of these Terms; or (d) your violation of any third party's rights, including intellectual property or privacy rights.
15. Governing Law and Dispute Resolution
15.1 Governing Law
These Terms shall be governed by and construed in accordance with the laws of the Commonwealth of Massachusetts, without regard to its conflict of law principles.
15.2 Informal Resolution
Before initiating any formal dispute resolution proceeding, you agree to first contact us at support@projent.io and attempt to resolve the dispute informally for at least thirty (30) days.
15.3 Arbitration
If the dispute is not resolved informally, any controversy or claim arising out of or relating to these Terms or the Service shall be settled by binding arbitration administered by the American Arbitration Association (“AAA”) in accordance with its Commercial Arbitration Rules. The arbitration shall take place in Massachusetts or, at your election, online or by telephone. The arbitrator's decision shall be final and binding. Judgment on the award may be entered in any court of competent jurisdiction.
15.4 Class Action Waiver
You and Augus LLC agree that each party may bring claims against the other only in an individual capacity and not as a plaintiff or class member in any purported class, consolidated, or representative action. The arbitrator may not consolidate the claims of more than one party and may not preside over any form of class or representative proceeding.
15.5 Exceptions
Notwithstanding the foregoing, either party may seek injunctive or equitable relief in any court of competent jurisdiction to protect its intellectual property rights. Nothing in this section prevents you from bringing issues to the attention of federal, state, or local agencies that may be able to seek relief on your behalf.
16. Changes to These Terms
We may revise these Terms from time to time. If we make material changes, we will notify you by posting the updated Terms on our website, displaying a notice within the Service, and, for significant changes, sending an email to your registered email address at least fifteen (15) days before the changes take effect.
Your continued use of the Service after the revised Terms become effective constitutes your acceptance of the changes. If you do not agree to the revised Terms, you must stop using the Service and may delete your account.
17. Termination
17.1 Termination by You
You may stop using the Service and delete your account at any time. Termination does not entitle you to a refund of any prepaid fees except where required by applicable law.
17.2 Termination by Augus
We may suspend or terminate your access to the Service immediately, without prior notice, if we reasonably believe: (a) you have materially breached these Terms; (b) your use poses a security risk to the Service or other users; (c) your use may subject us to legal liability; or (d) your account has been inactive for an extended period (we will attempt to notify you before termination for inactivity).
For non-material breaches, we will make reasonable efforts to notify you and provide an opportunity to cure the breach before terminating your account.
17.3 Effect of Termination
Upon termination, your right to access the Service ceases immediately. We will retain or delete your data in accordance with our Privacy Policy. Sections of these Terms that by their nature should survive termination (including Sections 6.1, 8, 12, 13, 14, 15, and 19) shall survive.
18. General Provisions
18.1 Entire Agreement
These Terms, together with our Privacy Policy and any other policies referenced herein, constitute the entire agreement between you and Augus LLC regarding your use of the Service and supersede all prior agreements and understandings.
18.2 Severability
If any provision of these Terms is found to be unenforceable or invalid by a court of competent jurisdiction, that provision shall be enforced to the maximum extent permissible, and the remaining provisions shall remain in full force and effect.
18.3 Waiver
Our failure to enforce any provision of these Terms shall not be construed as a waiver of that provision or any other provision. Any waiver must be in writing and signed by Augus LLC to be effective.
18.4 Assignment
You may not assign or transfer these Terms or your rights under them without our prior written consent. We may assign these Terms in connection with a merger, acquisition, reorganization, or sale of assets, provided the assignee agrees to be bound by these Terms.
18.5 Force Majeure
Augus LLC shall not be liable for any failure or delay in performance due to causes beyond our reasonable control, including but not limited to natural disasters, acts of government, pandemics, internet or infrastructure failures, or third-party service outages.
